Board and governance platform

Every decision, on the record.

BoardLit replaces email threads, shared drives and spreadsheets with one secure place where your board prepares, meets, decides and follows up. Votes are counted under the rules in your own Articles and shareholders' agreement.

The pilot is open to VC- and DFI-backed growth companies in Tanzania and Kenya, including Delaware and United Kingdom holding structures.

How it works

A board cycle, set out like an agenda

Every step of a board meeting happens in BoardLit, so the record builds itself as the board works. Nobody has to collect papers, votes and signatures afterwards.

  1. 1

    Prepare

    Company secretary

Build the agenda, attach the papers and issue the pack. BoardLit suggests items, checks the agenda against your rules and marks the items that need a vote.

  2. 2

    Ask

    Directors and management

Directors ask questions on any page of a paper. Management answers in writing before the meeting, so meeting time goes to strategy.

  3. 3

    Decide

    Chair and directors

Each director votes from their own device. BoardLit counts weighted seats, required voters, vetoes, investor consents and seats that must vote in favour, and it detects a deadlock as soon as one forms.

  4. 4

    Record and sign

    Company secretary and chair

Each decision is stored with its rationale and a certificate. Minutes are drafted, approved and signed in the same place.

  5. 5

    Follow up

    Management

Actions carry an owner and a deadline. The board sees what was delivered, what is late and which decision each action came from.

Rules built in

Votes counted the way your Articles say

This is the BoardLit rules engine running on an example rulebook. Change who is present or how a director votes, and the outcome updates as it would in the meeting.

Item 5

Expansion project, USD 1.8M

Reserved matter
Capital spend above USD 500,000. Rulebook v3, example.
  • Passes with at least 75% of votes cast. Abstentions are not votes cast.
  • Quorum is half the board, and the Chair must attend.
  • Investor director A's seat carries 2 votes, must vote, must vote in favour, and its consent is required.
  • Investor director B holds a veto on reserved matters.

Rule checks

  • Met. Quorum: 7 of 7 present, 4 needed, Chair must attend
  • Met. Required voters (Chair, Investor director A) have voted
  • Met. Reserved matter. Veto holders: Investor director B, no veto used
  • Met. Must vote in favour: Investor director A. Voted for
  • Met. Consent required from Investor director A: given
  • Met. Threshold: At least 75% of votes cast. Now 7 for, 0 against, 1 abstain

XYZ Company Ltd and its rulebook are fictional. When you join, your company secretary sets up your own rulebook from your Articles and shareholders' agreement, and BoardLit records which version applied to every vote. BoardLit applies the rules you configure. It does not give legal advice.

A trustworthy record

A register you can rely on years later

Every decision keeps its reason, its result and a trail of what happened next.

  • A reason for every decision

The rationale is written when the vote closes and printed on the certificate.

  • Dissent recorded by name

Who voted against or abstained stays in the register.

  • Signed means final

Signed minutes, certificates and closed votes are never edited. A correction is a new record that points to the original.

  • The rules that applied

Each decision stores the rulebook version used. A later change to the rules never alters a past outcome.

Who uses it

Made for everyone around the table

Nobody needs training. Each person sees the work that belongs to their role.

Company secretary

Runs meetings, minutes, signatures, registers and access.

Chair

Leads the board, approves agendas and minutes, and signs.

Directors

Executive, non-executive, independent and nominee directors read papers, ask questions, vote, sign and own actions.

Management

Presents papers, answers questions in writing and owns actions.

Observers

Read the papers they are admitted to and ask questions. They cannot vote.

Shareholders, later

A shareholder portal for holdings, reports and resolutions is planned after the pilot.

One person can sit on several boards with one sign-in. Each board's papers are visible only through that person's role on that board.

Copilot

People decide. AI does the reading and drafting.

BoardLit's Copilot summarises packs and drafts minutes and resolutions. It reads only the records the person asking can open, and every output is labelled and cites its sources.

Copilot can

  • Summarise a board pack, paper by paper
  • Draft minutes from a recording or transcript
  • Draft resolution wording and the rationale
  • Answer questions from past records, with sources

Copilot never

  • Records or closes a vote
  • Approves or signs anything
  • Changes who can see what
  • Invents a figure, a name or a date
Item 4

Q3 financials and FY2027 budget

AI draft

Summary of the paper for directors.

  • Management asks the board to approve the FY2027 budget. Paper 4, p. 1
  • The paper lists three risks to the plan and the owner of each. Paper 4, p. 6
  • Two directors' questions on the budget are still waiting for a written answer. Questions, item 4
Read from 2 records you can open.
The secretary approves before directors see it.
Security

Board papers stay with the board

These protections are part of how BoardLit is built. They are not settings anyone can switch off.

Each company kept apart

Every query is limited to your organisation, and the database enforces the same boundary a second time.

Access checked on every request

The server checks each person's role every time, whatever the screen shows.

Two-step sign-in

Every account signs in with a second factor.

Admin rights are not reading rights

Managing settings or sharing does not open board papers. Reading needs a role that grants it.

Everything sensitive is logged

Opens, page views, downloads, votes, signatures and access changes go to a log that cannot be edited.

Signed records are locked

Signed minutes, certificates and closed votes cannot be changed after the fact.

Questions

Common questions

Does BoardLit give legal advice?

No. BoardLit applies the rules your company sets up from its own Articles and agreements. Your lawyers decide what those rules are.

Who can read our board papers?

Only the people your company admits, through their role on the board or committee. Admin rights to manage settings do not include reading board papers.

Can a director use one account for several boards?

Yes. A director who sits on several boards signs in once and sees each board's content only through their role on that board.

Does the AI see everything?

No. Copilot reads only the records the person asking can open, labels everything it writes as AI, and cites its sources. A person approves every draft before it becomes part of the record.

What does BoardLit cost?

Pilot terms are agreed with each company. Prices are not published yet.
